01Overview

A sale, an acquisition, a receivership or a wind-down puts every number under a light it was not prepared for. Buyers want three years of clean statements. Receivers want a daily trust reconciliation. A wind-down needs final returns that agree with a ledger that is being emptied.

The principal has prepared cut-off statements and due diligence packages through an acquisition and held the accounting function together for a group of companies under a court-appointed receiver. The work is exacting and the timelines are not yours to set. We know how to run it.

02What it covers
  1. 01

    Sell-side due diligence package

Three years of statements, normalised earnings, working capital analysis and a data room a buyer's adviser can work through without a call.

  2. 02

    Buy-side financial review

A review of the target's books for the owner who is buying, focused on what the statements do not say.

  3. 03

    Cut-off statements

Balance sheets struck at the transaction date, reconciled and supported, for the purchase price adjustment.

  4. 04

    Receivership and restructuring reporting

Daily or weekly reporting to a receiver, monitor or lender, in the format they require, on their timetable.

  5. 05

    Wind-down and dissolution

Final financial statements, final T2 and HST returns, and the account closures that end a company's obligations properly.

  6. 06

    Post-acquisition integration

Two sets of books brought onto one chart of accounts and one system, with opening balances that reconcile.

03What you receive

Deliverables, named in the engagement letter.

Scope, deadlines and fee are agreed in writing before work begins. What follows is what that letter typically lists for this service.

  • Due diligence or cut-off package to the agreed date
  • Reporting to the receiver, lender or buyer on their schedule
  • Final returns and closures documented

Tell us where the books stand. We will tell you what it takes.

Describe the situation and you will get a straight answer about what the work involves, what it costs, and how soon it can begin. Nothing is billed until an engagement letter is signed by both sides.
